1About these terms

These Terms and Conditions ("Terms") are an agreement between you and Zintle Technology, 7420 Unity Ave N #211, Brooklyn Park, MN 55443, USA ("Zintle Technology", "we", "us" or "our"). They govern your use of the Recido mobile app, the website at recido.app and related services (together, the "Service").

By creating an account or using the Service you agree to these Terms. If you use Recido on behalf of a business, you agree to them on behalf of that business and confirm you are authorised to do so; "you" then includes the business. If you do not agree, do not use the Service.

Our Privacy Policy explains how we handle personal information, and our Refund Policy explains refunds. Both form part of these Terms.

2Who can use Recido

• You must be at least 18 years old.
• Recido is designed for business use — for sole traders, freelancers and companies managing their own customers, documents and stock. It is not intended for personal, family or household use.
• You must not use the Service if you are barred from doing so under applicable law.

3Beta and pricing

Recido is currently in beta. During the beta the Service is free, we take no payments, and there are no in-app purchases. Beta software may change, contain bugs, or have features added or removed.

If we introduce paid plans, we will tell you before any charge applies, show prices (including any taxes) before you buy, and you will only be charged if you choose to buy. Paid features will be subject to the terms shown at the time of purchase and to our Refund Policy.

4Your account

• You sign up with an email address and password, and verify your email with a code we send you.
• Give us accurate information and keep it up to date.
• Keep your password secret and your device secure. You are responsible for activity under your account unless it results from our own failure to protect the Service.
• Tell us promptly at support@recido.app if you think someone has accessed your account without permission.

5Using the Service

5.1 Licence

Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Recido app and Service for your business.

5.2 What you must not do

• Use the Service for anything unlawful, fraudulent or deceptive — including issuing false invoices or receipts, tax evasion or money laundering.
• Enter or process personal information you have no right to use.
• Try to access accounts, businesses or data that are not yours, or get around security, permissions or rate limits.
• Reverse engineer, decompile or copy the app, except where the law allows it despite this restriction.
• Upload malware, or interfere with or overload the Service.
• Use bots or scrapers to access the Service without our written permission.
• Use Recido AI to create unlawful, harmful or misleading content.
• Resell or sublicense the Service.

If you break these rules we may suspend or close your account (section 12) and, where appropriate, report the matter to the authorities.

6Your content and your data

You own the information and files you put into Recido — your business details, customer records, products, documents and AI conversations ("Your Content"). You give us permission to store, process, copy and display Your Content only as needed to provide, secure and support the Service for you, as described in our Privacy Policy.

You can export your data at any time: the app's "Export my data" option gives you a JSON copy, and each document can be saved as a PDF.

You are responsible for Your Content and for keeping your own copies of records you need — for example, invoices and receipts you must keep for tax purposes.

7Your customers' personal information

When you store information about your customers in Recido, you are the controller of that information and we process it on your behalf, as described in section 6 of our Privacy Policy. You are responsible for handling it lawfully, including:

• having a lawful basis to collect, store and use it, and giving your customers any notices the law requires;
• entering only what you need, and keeping it accurate;
• responding to your customers' requests about their information; and
• deciding whether to include customer details in Recido AI requests, push notifications and documents you share.

8Documents you create

Recido helps you prepare invoices, quotations and receipts. You are responsible for the content of every document you create or send, including amounts, taxes, customer details, payment terms and any legal text you add, and for making sure your documents meet the tax, invoicing and consumer laws that apply to you.

Recido does not provide legal, tax or accounting advice. Payments you mark as received in Recido are your own records — Recido does not process payments.

9Recido AI

Recido AI is an optional assistant powered by third-party AI models. When you use it, your requests are processed by our AI providers as described in our Privacy Policy.

AI output may be similar to output produced for other users. We do not guarantee that AI output is unique, accurate or fit for any purpose.

10Teams, roles and permissions

A business owner can invite team members and choose their role and permissions. The owner is responsible for who they invite, what access they give, removing access when it is no longer needed, and for actions team members take within the business.

Records created in a business belong to that business. If a team member leaves or deletes their account, the records they created stay with the business.

11Availability and changes to the Service

We work to keep Recido running reliably, but we do not promise that it will be available at all times or free of errors, and we do not offer an uptime guarantee or service level agreement. The Service may be unavailable for maintenance, updates, problems with our providers or other reasons.

We may change, add or remove features. If we plan to discontinue the Service entirely, we will give you reasonable notice so you can export your data.

12Closing your account

12.1 By you

You can stop using Recido at any time and delete your account in the app (Settings → Delete account) or through our web deletion page. Deletion permanently removes your account and every business you own, with its customers, documents, products, AI chats, team memberships and files, from our live systems; backup copies roll off within 30 days. We cannot recover deleted data, so export what you need first.

12.2 By us

We may suspend or close your account if you seriously or repeatedly break these Terms, if the law requires it, or if your use creates a security or legal risk for us or others. Where reasonable we will tell you first and give you a chance to export your data, unless doing so would be unlawful or create a risk.

12.3 What survives

Sections that by their nature should continue after your account closes — including sections 14 to 17 — continue to apply.

13Our intellectual property

The Recido app, website, software, design, name and logos belong to Zintle Technology or its licensors. These Terms do not give you any rights in them other than the licence in section 5.1. If you send us feedback or suggestions, we may use them without any obligation to you.

14Disclaimers

TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR AI OUTPUT WILL BE ACCURATE, UNINTERRUPTED, SECURE OR ERROR-FREE.

15Limitation of liability

TO THE EXTENT PERMITTED BY LAW, ZINTLE TECHNOLOGY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND ONE HUNDRED US DOLLARS (USD 100).

Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, such as liability for fraud, or for death or personal injury caused by negligence, or your rights under mandatory consumer-protection law.

16Indemnity

To the extent permitted by law, you agree to indemnify Zintle Technology against claims, losses and reasonable costs (including legal fees) arising from your breach of these Terms, your unlawful use of the Service, or Your Content — including claims by your customers about how you handled their personal information.

17Governing law and disputes

17.1 Governing law

These Terms are governed by the laws of the State of Minnesota, USA, without regard to its conflict-of-law rules. This does not take away any protection you have under the mandatory laws of the country where you live.

17.2 Talk to us first

If you have a dispute with us, please email support@recido.app first. We will try in good faith to resolve it within 30 days.

17.3 Courts

Subject to section 17.1, disputes that cannot be resolved informally will be decided by the state or federal courts located in Hennepin County, Minnesota, and you and we consent to their jurisdiction. Either of us may bring a claim in a small-claims court where it qualifies. If you live outside the United States, you may also bring proceedings in the courts of your country where its law gives you that right.

18Changes to these Terms

We may update these Terms as the Service changes or the law requires. We will change the "Last Updated" date and, for material changes, tell you in the app or by email before they take effect. If you keep using Recido after that, the new Terms apply. If you do not agree, you can stop using Recido and delete your account.

19General

• Entire agreement. These Terms, with the Privacy Policy and Refund Policy, are the whole agreement between you and us about the Service.
• Severability. If any part of these Terms is found unenforceable, the rest continues to apply.
• No waiver. If we do not enforce a right straight away, we can still enforce it later.
• Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets, and will tell you if we do.
• Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control.
• Language. These Terms are written in English. If we translate them, the English version applies if there is a conflict.
