1Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Zintle Technology ("Recido", "we", "us", or "our") governing your access to and use of the Recido mobile application and associated services ("Service").
By downloading, installing, accessing, or using Recido, you agree to be bound by these Terms, our Privacy Policy, End-User License Agreement (EULA), and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately cease using the Service and uninstall the application.
2Eligibility and Account Requirements
2.1 Age Requirement
You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and use Recido. By using the Service, you represent and warrant that you meet this age requirement. If we discover that a user is under the required age, we will terminate their account immediately.
2.2 Business Purpose
Recido is designed for business and commercial use. You represent that you are using the Service for legitimate business purposes, including but not limited to:
- Generating business documents (receipts, invoices, quotations)
- Managing inventory and stock levels
- Tracking customer information and purchase history
- Business analytics and reporting
2.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and account setup. You are responsible for maintaining the accuracy of your business information, including:
- Business name, address, and contact details
- Customer information you enter
- Inventory data and pricing
- Legal disclaimers and terms displayed on documents
3User Accounts and Security
3.1 Account Creation
To use Recido, you must create an account using one of the following methods:
- Email and password authentication
- Google Sign-In (OAuth 2.0)
3.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your login credentials (email and password)
- All activities that occur under your account, whether authorized by you or not
- Immediately notifying us of any unauthorized access or security breach
- Ensuring that you log out from your account at the end of each session, especially on shared devices
We are not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account.
3.3 Multiple Accounts
Each user is permitted one primary account. Creating multiple accounts to circumvent service limitations, engage in fraudulent activity, or abuse the Service is strictly prohibited and may result in termination of all associated accounts.
4Permitted Use of the Service
4.1 License Grant
Subject to your compliance with these Terms, Recido grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes.
4.2 Authorized Use
You may use Recido to:
- Create, store, and manage business documents (receipts, invoices, quotations)
- Track and manage inventory and stock levels
- Store and organize customer information
- Generate business insights and analytics based on your data
- Invite and manage sales representatives with limited access
- Export and share documents via email, messaging apps, or social media
5Prohibited Uses and Conduct
5.1 You Must Not
You agree not to engage in any of the following prohibited activities:
- Illegal Activities: Use Recido for any unlawful purpose, including fraud, money laundering, tax evasion, or any activity that violates local, state, national, or international law
- Unauthorized Access: Attempt to gain unauthorized access to any part of the Service, other user accounts, or our systems and networks
- Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Recido application
- Modification: Modify, adapt, translate, or create derivative works based on the Service
- Data Misuse: Sell, rent, lease, sublicense, or share customer data collected through Recido with unauthorized third parties
- Malicious Code: Upload, transmit, or distribute viruses, malware, ransomware, or any harmful code
- Spam and Abuse: Send unsolicited communications, spam, or engage in abusive behavior toward other users or our support team
- Impersonation: Impersonate any person or entity, or falsely represent your affiliation with any person or organization
- System Interference: Interfere with or disrupt the integrity or performance of the Service, including through denial-of-service attacks or excessive API requests
- Automated Access: Use bots, scrapers, or automated tools to access the Service without our express written permission
- Circumvention: Attempt to bypass any security measures, rate limits, or access controls
5.2 Consequences of Violations
Violation of any prohibited use may result in:
- Immediate suspension or termination of your account
- Permanent ban from using the Service
- Legal action, including criminal prosecution
- Reporting to relevant authorities or law enforcement
6Document Generation and Legality
6.1 Document Validity
Recido provides tools to create business documents including receipts, invoices, and quotations. These documents are legally valid business records when configured with accurate and complete information.
6.2 Your Responsibilities
You are solely responsible for:
- The accuracy of all information displayed on documents you create
- Compliance with applicable tax laws, accounting standards, and business regulations in your jurisdiction
- Any custom legal disclaimers, terms of sale, return policies, or other legal text you add to documents
- Ensuring that your documents comply with consumer protection laws and industry-specific regulations
6.3 No Legal Advice
Recido does not provide legal, tax, or accounting advice. We are not responsible for the enforceability, legality, or compliance of documents you create. You should consult with qualified professionals (lawyers, accountants, tax advisors) to ensure your documents and business practices comply with applicable laws.
7Data Ownership and Privacy
7.1 Your Data
You retain all ownership rights to the data you input into Recido, including:
- Business information (name, logo, contact details)
- Customer data and records
- Inventory and product information
- Documents you create (receipts, invoices, quotations)
7.2 Data Usage by Recido
By using the Service, you grant Recido a limited, non-exclusive license to:
- Store your data securely on our cloud infrastructure (Google Firebase)
- Process your data to provide the Service features (document generation, inventory tracking, analytics)
- Use anonymized, aggregated data for app improvement and feature development
We will never sell, rent, or share your data with third parties for marketing purposes. See our Privacy Policy for complete details on how we handle your data.
7.3 Customer Data Responsibility
You are responsible for obtaining any necessary consents from your customers before collecting, storing, or processing their personal information through Recido. You must comply with all applicable data protection laws (GDPR, CCPA, NDPR, etc.) when handling customer data.
8User Roles and Access Control
8.1 Business Owner
As the account owner, you have full administrative control over your Recido account, including:
- Creating, editing, and deleting all documents, customers, and inventory items
- Inviting and managing sales representatives
- Accessing all business data and analytics
- Modifying business profile and settings
8.2 Sales Representatives
Sales representatives invited by the business owner have limited access:
- Can create receipts, invoices, and quotations
- Can view only customers and documents they have created
- Cannot access business-wide inventory settings, financial data, or other representatives' records
- Cannot invite additional users or modify business settings
8.3 Account Owner Responsibility
As the account owner, you are fully responsible for:
- All actions taken by sales representatives you authorize
- Properly managing access permissions and removing access when employees leave
- Any misuse of the Service by users under your account
9Service Availability and Maintenance
9.1 Service Level
We strive to provide 99.5% uptime for the Recido service, as detailed in our Service Level Agreement (SLA). However, we do not guarantee uninterrupted or error-free service.
9.2 Scheduled Maintenance
We may perform scheduled maintenance, updates, or upgrades that temporarily limit or suspend access to the Service. Where possible, we will:
- Provide at least 24 hours advance notice of planned downtime
- Schedule maintenance during off-peak hours
- Minimize disruption to your business operations
9.3 Emergency Maintenance
We reserve the right to perform emergency maintenance without prior notice to address:
- Security vulnerabilities or breaches
- Critical system failures
- Legal or regulatory compliance requirements
9.4 Third-Party Dependencies
Recido relies on third-party service providers (Google Firebase, cloud infrastructure). We are not responsible for outages or performance issues caused by these external providers.
10Fees, Payment, and Subscriptions
10.1 Current Pricing
Recido is currently offered free of charge. Core features including document generation, customer management, and inventory tracking are available to all users at no cost.
10.2 Future Paid Features
We reserve the right to introduce paid subscription tiers, premium features, or add-on services in the future. If we do so:
- Current users will be notified at least 30 days in advance
- Core features will remain free or be grandfathered for existing users
- Clear pricing and feature descriptions will be provided
- You will have the option to upgrade, downgrade, or cancel at any time
10.3 Payment Processing
If paid features are introduced, payment processing will be handled by trusted third-party providers (Stripe, Google Play Billing). All payment terms, billing cycles, and refund policies will be clearly disclosed at that time.
11Intellectual Property Rights
11.1 Recido Ownership
All rights, title, and interest in and to the Recido application, including but not limited to:
- Software code, algorithms, and architecture
- User interface design and graphics
- Trademarks, logos, and brand assets
- Documentation, tutorials, and help content
- AI models and proprietary features
are and will remain the exclusive property of Zintle Technology and its licensors. These Terms do not grant you any ownership rights to the Service or its intellectual property.
11.2 Trademarks
"Recido" and associated logos are trademarks of Zintle Technology. You may not use these trademarks without our prior written consent. Unauthorized use of our trademarks may constitute trademark infringement and unfair competition in violation of applicable laws.
11.3 User-Generated Content
You retain ownership of all content you create using Recido (documents, business information, customer data). However, by using the Service, you grant us a limited license to store, process, and display this content solely for the purpose of providing the Service to you.
11.4 Feedback and Suggestions
If you provide us with feedback, suggestions, or ideas for improving Recido, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to compensate you.
12Limitation of Liability
12.1 "AS IS" and "AS AVAILABLE" Disclaimer
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ZINTLE TECHNOLOGY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, secure, or virus-free
- Warranties regarding the accuracy, reliability, or completeness of data or content
- Warranties that defects will be corrected or that the Service meets your business requirements
12.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZINTLE TECHNOLOGY, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Business interruption or loss of use
- Costs of procurement of substitute services
- Any damages arising from errors, mistakes, or inaccuracies in documents you create
- Unauthorized access to or alteration of your data
- Third-party conduct or content on the Service
WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.3 Maximum Liability Cap
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.
12.4 Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations and exclusions may not apply to you, and our liability will be limited to the maximum extent permitted by law.
12.5 User Responsibility
You acknowledge and agree that:
- You use the Service at your own risk
- You are solely responsible for the accuracy of documents you create and business decisions you make based on data in Recido
- You should maintain backup copies of important business data
- You should verify all critical information before relying on it for business purposes
13Indemnification
You agree to indemnify, defend, and hold harmless Zintle Technology, its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:
- Your violation of these Terms or any applicable law or regulation
- Your use or misuse of the Service
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
- Any content, documents, or data you submit, post, or transmit through the Service
- Your breach of any representations or warranties made in these Terms
- Any negligent or wrongful conduct by you or anyone accessing the Service under your account
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
14Data Retention and Account Termination
14.1 Termination by You
You may terminate your account at any time by:
- Contacting us at support@recido.app with a termination request
- Following the account deletion process within the app settings (if available)
Upon termination by you, we will delete your personal data within 30 days, except where retention is required by law (e.g., tax records must be retained for 7 years).
14.2 Termination by Recido
We reserve the right to suspend or terminate your account immediately, without prior notice, if:
- You violate any provision of these Terms
- You engage in fraudulent, illegal, or abusive conduct
- Your account has been inactive for 12 consecutive months (after notice)
- We are required to do so by law or legal process
- Continuing to provide the Service poses a security or legal risk
14.3 Effect of Termination
Upon termination of your account:
- Your access to the Service will be immediately revoked
- All data stored in your account may be permanently deleted (unless legally required to retain)
- You will lose access to all documents, customer records, and inventory data
- Any outstanding obligations (e.g., payment for services, if applicable) will become immediately due
- Provisions of these Terms that by their nature should survive (e.g., limitations of liability, indemnification) will remain in effect
14.4 Data Export Before Termination
We strongly recommend that you export and backup all important business data before terminating your account. After termination, we cannot guarantee the ability to recover your data.
14.5 Inactive Account Policy
Accounts that have been inactive (no login or app activity) for 12 consecutive months may be scheduled for automatic deletion. We will send you an email reminder 30 days before deletion, giving you an opportunity to log in and keep your account active.
15Dispute Resolution and Governing Law
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law principles. However, data protection matters shall be governed by the applicable law of your jurisdiction (e.g., GDPR for EU users, CCPA for California residents).
15.2 Informal Dispute Resolution
Before initiating any formal legal proceedings, you agree to first contact us at support@recido.app to attempt to resolve the dispute informally. We will work with you in good faith to reach a mutually acceptable resolution within 30 days.
15.3 Arbitration Agreement (US Users)
If you are located in the United States and the informal dispute resolution process fails, you agree that any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Minnesota, or at another mutually agreed location, and will be conducted in English.
15.4 Class Action Waiver (US Users)
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY REPRESENTATIVE OR COLLECTIVE PROCEEDING.
15.5 Exceptions to Arbitration
Either party may seek relief in court for:
- Claims related to intellectual property infringement
- Injunctive or equitable relief
- Small claims court matters (if eligible)
15.6 EU Users - Alternative Dispute Resolution
If you are located in the European Union, you may use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr
15.7 Jurisdiction and Venue
To the extent permitted by law, any legal action or proceeding arising from these Terms or the Service shall be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to the personal jurisdiction of such courts.
16Modifications to Terms
16.1 Right to Modify
We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Changes may be made to:
- Comply with changes in law or regulation
- Reflect new features or services
- Address security concerns
- Improve clarity or user experience
- Address abuse or misuse of the Service
16.2 Notification of Changes
When we make material changes to these Terms, we will:
- Update the "Last Updated" date at the top of this document
- Notify you through the app with an in-app notification or banner
- Send you an email notification to the address associated with your account
- Provide at least 30 days notice before the changes take effect (for material changes)
16.3 Acceptance of Modified Terms
Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account as described in Section 14.1.
16.4 Version History
Previous versions of these Terms will be archived and available upon request for transparency and reference purposes.
17General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, EULA, GDPR Compliance Statement, Data Processing Agreement, and any other legal notices published by us on the Service, constitute the entire agreement between you and Zintle Technology regarding the use of Recido and supersede all prior agreements, understandings, and communications.
17.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while reflecting the original intent of the parties.
17.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Zintle Technology.
17.4 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without your consent in connection with a merger, acquisition, corporate reorganization, or sale of assets.
17.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
- Acts of God (natural disasters, pandemics, epidemics)
- War, terrorism, civil unrest, or government actions
- Internet or telecommunications failures
- Third-party service provider outages
- Power failures or hardware malfunctions
17.6 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated herein.
17.7 Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Zintle Technology. You are an independent user of the Service.
17.8 Headings
The section headings in these Terms are for convenience only and have no legal or contractual effect.
17.9 Language
These Terms are prepared in English. If these Terms are translated into other languages, the English version shall prevail in the event of any conflict or inconsistency.

BY CREATING AN ACCOUNT AND USING RECIDO, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. YOU ALSO ACKNOWLEDGE THAT THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND ZINTLE TECHNOLOGY.
